01 Agreement to Terms

By accessing or using the services provided by ClearPath Software LLC ("Company", "we", "us", "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to website development, mobile app development, software development, and consulting services.

02 Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of ClearPath Software LLC.

Important: Upon full payment, the client receives ownership rights to the final deliverables. Source code, design files, and associated documentation are transferred to the client.

Our company retains the right to use completed projects for portfolio and marketing purposes unless otherwise agreed in writing.

03 User Obligations

As a user of our services, you agree to:

  • Provide accurate, current, and complete information during the project engagement
  • Cooperate fully with our team and provide necessary materials and feedback promptly
  • Not use our services for any illegal or unauthorized purpose
  • Not violate any laws in your jurisdiction
  • Not infringe upon or violate our intellectual property rights
  • Not attempt to reverse engineer or copy our proprietary technology

04 Payments & Refunds

Payment terms are as follows:

Deposit Required

A 50% deposit is required before work commences on any project.

Milestone Payments

Remaining balance is split into milestone payments based on project phases.

Final Payment

Final payment is due upon project completion and before final delivery.

Refund Policy: Deposits and milestone payments are non-refundable once work has commenced. Refunds are considered on a case-by-case basis for incomplete work.

05 Delivery & Acceptance

Project delivery follows these guidelines:

  • Estimated timelines are provided as good-faith estimates and may be adjusted due to project complexity or client feedback delays
  • Client has 7 business days to review deliverables and provide feedback or request revisions
  • After acceptance, further changes may incur additional charges
  • Hosting, domain registration, and third-party services are not included unless specified

06 Warranty & Support

We stand behind our work with the following warranties:

30-Day Bug Fixes

Free bug fixes for 30 days after final delivery

Technical Support

3 months free technical support included

Security Patches

Critical security updates for 6 months

Extended warranty and maintenance plans are available for purchase.

07 Limitation of Liability

To the maximum extent permitted by law, ClearPath Software LLC shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from the use or inability to use our services
  • Third-party claims against the client

Our total liability shall not exceed the total amount paid by you for our services.

08 Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This includes but is not limited to:

  • Business processes and trade secrets
  • Customer data and information
  • Source code and technical documentation
  • Pricing and financial information

This obligation survives the termination of our agreement.

09 Termination

Either party may terminate the agreement:

  • With 30 days written notice without cause
  • Immediately if the other party breaches any material term
  • Upon mutual written agreement

Upon termination, client shall pay for all work completed up to the termination date.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware.

ClearPath Software LLC reserves the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of our services constitutes acceptance of the modified Terms.
